Frank P. Nagorney, Partner, Cleveland

A principal at Cowden Humphrey, Mr. Nagorney focuses on finding business solutions for legal problems facing private and family‐owned businesses. He advises clients on personal issues such as succession planning, estate taxation, insurance and other wealth management issues.

As general counsel to business clients, Mr. Nagorney advises and represents them on financing (banking and private equity), business structure and tax planning, restructuring debt and bankruptcy, intellectual property licensing and protection, executive compensation, environmental and other issues.

Mr. Nagorney counsels and represents real estate clients on construction, development, financing and syndication issues. Representative projects include residential and commercial developments utilizing public‐private funding partnerships, historic tax credits, low income housing tax credits, new market tax credits, facade and conservation easements, and FHA and HUD financing.

Mr. Nagorney also provides representation for charitable and tax exempt organizations and foundations.

Recent projects include licensing of domestic and foreign intellectual property rights, private venture capital financing for pharmaceutical and a medical device clients, purchase and sale of internet properties, restructuring of a financially troubled enterprise, institutional banking (including letter of credit supported revenue bond), factoring of accounts receivable for a manufacturing client, negotiating contract terms for an India manufacturing facility, HUD financing of an urban residential apartment project, advising executives of a public relations firm regarding compensation, personal stock options and non‐competition requirements in connection with a sale of the firm.

Mr. Nagorney lectures on strategic business planning for non‐lawyers, as well as succession, estate and insurance planning for owners of family businesses. He serves as a volunteer mentor to business owners and managers enrolled in the Strategic Planning Course sponsored each year by Cleveland’s Council of Smaller Enterprises, and also is a member of COSE’s advocacy committee that reviews the impact of state and federal legislation on small businesses.
